Your business has decided to leave an agreement with an Israeli company. The contract contains a termination for convenience clause. The next step is not simply to email “we are cancelling”: the notice, its timing and the handover can each create a separate dispute.
This guide is for foreign businesses preparing an actual termination notice. It complements our overview of termination for convenience clauses in Israel, rather than replacing a review of the contract and applicable law.

An exit clause answers whether a route exists. A notice and handover plan determine how you use it.
Confirm the exit route before writing the notice
Start with the signed agreement, schedules and later amendments. Identify which entity holds the right, which agreement or order may be ended, and whether the right is available now. A master agreement may remain in force even when an individual order ends, or the reverse.
Do not confuse an agreed convenience termination with cancellation for breach. They can have different conditions, notice periods and consequences. A fixed-term contract should not be treated as freely terminable merely because continuing it is no longer attractive. If the route is unclear, resolve that question before sending a final notice.
Check governing law and dispute resolution separately. A contract with an Israeli company does not, by itself, settle every applicable-law question. Where Israeli law applies, the duty of good faith in exercising contractual rights must be considered (section 39 of the Contracts (General Part) Law, official original text). An express exit right is not a reason to ignore that duty.
Build a notice checklist from the actual contract
- Sender: the contracting entity and a person authorised to act for it.
- Recipient: the legal entity, designated contact and notice address specified in the agreement.
- Delivery: the required method, including any separate copy requirement.
- Timing: the notice period, receipt rules and proposed effective date.
- Scope: the agreement, services, locations or orders affected.
- Follow-through: accrued payments, work in progress and obligations that continue.
Do not assume a familiar commercial email address replaces the contractual notice address. Nor should a message being opened be treated as resolving every delivery issue. Keep the signed notice, the version sent, delivery records and the calculation supporting the proposed end date.
Keep the wording accurate and limited
The notice should identify the agreement and the contractual basis relied on, state the intended scope and effective date, and address the next operational steps. Avoid mixing an unqualified convenience termination with unreviewed allegations of breach. That combination can obscure the route being used and create unnecessary factual disputes.
There is no universal notice template that safely fits all Israeli commercial contracts. A notice should not announce that all obligations have ended when confidentiality, payment, intellectual property, dispute resolution or other provisions may continue. Any reservation of rights should be consistent with the position actually taken.
In our experience, an organised exit file helps management avoid contradictions between the formal notice, procurement instructions, finance messages and the handover team. Those communications should be checked together, not drafted in isolation.
Separate payment from the operational cutover
Prepare a payment schedule that distinguishes delivered work, disputed invoices, deposits, work in progress, committed stock and any agreed exit charges. A claimed cost is not automatically recoverable. Identify the contractual or legal basis for each item and preserve the supporting records.
Do not assume termination automatically cancels purchase orders, releases guarantees or ends subcontractor commitments. Those instruments may need separate review and, in some cases, another party’s consent. Tax and accounting treatment should also be checked with the appropriate advisers.
Agree a handover that can actually be completed
List what must be transferred, returned, retained or switched off. For a service relationship this might include access credentials, project records, equipment and customer-facing responsibilities. For a supply relationship it might include open orders, stock, warranties and shipping arrangements.
The plan should name the responsible people, the format of each deliverable and the acceptance process. Do not promise deletion of every record if lawful retention duties or litigation-preservation needs require otherwise. Personal data and confidential information need their own review; convenience termination is not permission to copy or disclose them freely.
Where operations must continue during the notice period, clarify the service scope and payment basis in writing. Do not assume the other side must provide unlimited transition work without an agreed basis.
If the Israeli counterparty disputes the notice
Preserve the response and check what is being challenged: the right itself, delivery, the date, payment or the transition arrangements. Keep urgent business continuity separate from settlement discussions. If immediate harm is threatened, obtain advice on available remedies rather than taking self-help measures without checking authority.
A useful first consultation needs the signed contract, amendments, proposed notice, delivery clause, timeline and a short list of operational deadlines. Start with the parties’ jurisdictions, contract type and intended exit date; sensitive documents can follow through an appropriate channel.
Sending a termination notice to an Israeli company? Get the mechanics right first.
A defective notice can void the termination and expose you to claims. The contract, the law and the delivery method all have to line up.
