Your purchase order says one thing. The Israeli supplier’s quotation says another. The price may match while delivery, liability, payment and dispute terms do not. For a foreign business, the expensive mistake is treating this document trail as a signed agreement on every point.
A purchase order, quotation, order acknowledgment and set of standard terms can all be relevant. Their names alone do not decide which terms bind the parties. Before issuing an instruction to begin work, identify the agreed package, the unresolved differences and the person who can approve the final position.
Purchase orders colliding with supplier terms? Know which document controls.
The battle of forms decides whose terms govern delivery, liability and payment. Silence on the conflict usually favors the other side.

A matching price is not a matching contract. Put the document hierarchy in writing before performance makes the disagreement harder to unwind.
Purchase order vs supplier terms: map the conflict first
Place the actual documents side by side, including attachments and the versions of online terms available when they were sent. Separate a genuine contradiction from a point addressed in only one document. A specification may describe the product while another document addresses liability; that is different from two incompatible delivery dates.
- Scope: Which specification, revision and exclusions were supplied?
- Payment: Is payment due on dispatch, delivery, acceptance or a fixed date?
- Acceptance: What inspection and rejection process is described?
- Risk: Do the documents conflict on liability limits, indemnities or insurance?
- Forum: Are governing law, court jurisdiction or arbitration provisions inconsistent?
Use a short conflict log: issue, buyer’s wording, supplier’s wording, agreed resolution and document that will record it. Do not mark a point resolved because a salesperson says it is “standard”.
Do not assume the last document automatically wins
Where Israeli domestic contract law applies, section 11 of the Contracts (General Part) Law, 1973 treats an acceptance containing an addition, restriction or other change to the offer as a new offer. That is a reason to examine the exchange, not a shortcut for declaring that the last email or last attachment controls the entire transaction.
Sections 2, 5 and 6 address offer and acceptance, including acceptance by conduct in the circumstances described by the law. Section 23 generally allows contracts in different forms unless a particular form is required by law or by the parties’ agreement. A missing signature therefore does not, by itself, settle whether a contract exists. Equally, starting work does not justify assuming that every clause in a document was accepted.
Keep the full chronology: when the quotation arrived, what the purchase order referenced, which terms were attached, what the acknowledgment changed and what happened next. The analysis depends on the applicable law, the words used and the relevant conduct.
Check the law before applying a domestic rule
A cross-border sale of goods may fall within the United Nations Convention on Contracts for the International Sale of Goods (CISG). Israel is a Contracting State. The Convention has its own formation rules and scope, and the parties’ choices and transaction details matter. Do not assume that choosing Israeli law necessarily removes this question.
The CISG is not a general code for every international service engagement. Mixed goods-and-services arrangements need their own classification. A software implementation, manufactured product and professional service should not be forced into one automatic “battle of forms” answer.
Israel also amended section 25 of its Contracts (General Part) Law in 2026. The amendment distinguishes contract categories and contains exceptions; it is not a rule that all business disputes are decided by literal wording alone. Its application provision covers contracts concluded after the amendment takes effect and treats renewal as conclusion for this purpose. Check timing and classification before relying on it. Interpretation of an agreed contract and deciding which terms were agreed are related but separate questions.
Agree a document hierarchy that actually works
Before performance, ask both sides to confirm the documents that form the agreement, with titles, dates and revision numbers. Then agree what prevails if there is a conflict. A hierarchy might put a negotiated agreement above schedules and purchase orders, but its order must fit the deal and be accepted by both sides. It is not something the buyer can quietly impose in an internal procurement system.
Address deviations directly. If an agreed delivery schedule should override a standard dispatch clause, say so. If a purchase order is only an administrative payment reference and cannot change the negotiated contract, record that too. Check how later change orders become effective and who may approve them.
In our experience, a short, agreed deviations schedule can be more useful than another round of competing standard terms. It keeps the commercial decision visible: which wording changed, who approved it and which document now records the result.
If the order is already being performed
Preserve the original files, emails, portal acknowledgments and dated copies of linked terms. Record delivery, inspections, objections and payments without rewriting the history. Do not retrospectively describe a disputed clause as accepted to make an internal record look tidy.
Get advice before suspending payment, refusing delivery or sending a statement that may waive a position. If the parties can agree a short clarification now, distinguish what it changes prospectively from any settlement or release of existing claims. For later scope changes, see our change-order checklist for an Israeli service provider.
Bring the documents, not only the latest email
For a focused review, assemble the negotiated contract, quotation, purchase order, acknowledgment, standard terms, specifications and the complete approval chain. Add a one-page chronology and the decision your business needs to make. RNC advises foreign businesses on commercial contracts and disputes involving Israeli counterparties.
